User Agreement
Service Description
UnionToken (hereinafter "we", "us", or "the Platform") is a multi-model AI API aggregation platform that provides unified API access to third-party large language model providers (hereinafter "Model Providers") including OpenAI, Anthropic, DeepSeek, and others. All models and their related API services are provided directly by their respective Model Providers. UnionToken acts solely as an aggregation and routing layer and is not the actual provider of the model services.
Account Registration and Responsibilities
You must provide truthful, accurate, and complete personal information when registering and using the Platform. You are solely responsible for safeguarding your account credentials (including username, password, and API Key). You bear full responsibility for all activities under your account. Any loss or unauthorized charges arising from account theft, password leakage, or unauthorized use shall be borne by you. Do not disclose your API Key to any third party or store it in plaintext in client-side code. Change your API Key regularly and contact us immediately if you detect any anomalies.

API Usage Guidelines
When using the Platform's API, you must comply with the following: (1) Do not use the Platform to generate, promote, or disseminate any illegal, harmful, discriminatory, or rights-infringing content; (2) Do not reverse-engineer, decompile, or attempt to crack the Platform's API; (3) Do not interfere with the normal operation of the Platform or attempt unauthorized access; (4) Must comply with the applicable terms and usage policies of each Model Provider; (5) Do not engage in any abusive behavior beyond legitimate commercial use. We reserve the right to warn, rate-limit, suspend, or permanently terminate accounts for violations of this Agreement, without prior notice.

Billing and Payment
The Platform charges based on actual Token consumption at rates determined by the selected model and usage tier (see the Pricing page for details). All charges are based on our system records. We accept payments through third-party processors such as Stripe. Balances are credited immediately upon successful payment. Price changes due to Model Provider adjustments or exchange rate fluctuations will be notified before they take effect. Ensure your payment method has sufficient funds; service interruptions caused by payment failures are your responsibility.

Service Availability
We commit to 99.9% monthly service availability and continuously optimize Platform performance. We are not liable for service interruptions caused by: (1) Force majeure events (natural disasters, war, network failures, etc.); (2) Planned maintenance (with advance notice); (3) Third-party Model Provider outages or API changes; (4) Your own network or device issues; (5) Automatic account suspension due to policy violations. We will make reasonable efforts to restore service promptly in all cases.

Intellectual Property
The Platform's website, documentation, interface design, logos, trademarks, and all content thereof (collectively "Platform Assets") are the intellectual property of UnionToken and may not be used without prior written authorization. The intellectual property of content generated through API calls (to the extent recognized by applicable law) belongs to you, subject to the following: (1) We bear no responsibility for the accuracy, legality, or completeness of generated content; (2) You must comply with each Model Provider's output content policies; (3) Some Model Providers may assert rights over AI-generated content — please refer to each Provider's specific terms.

Disclaimer and Limitation of Liability
To the maximum extent permitted by applicable law, UnionToken shall not be liable for any indirect, incidental, special, or consequential damages (including but not limited to loss of profits, data loss, or business interruption) arising from the use of or inability to use the Platform. Our aggregate liability to any user in any billing period shall not exceed the total amount actually paid by that user to us during that period. For user losses caused by third-party Model Provider issues, we will assist in handling but do not assume direct liability.
Termination of Service
You may terminate your account at any time by contacting us and request a refund of unused Token balance (subject to our Refund Policy). If you violate any provision of this Agreement, we have the right to immediately suspend or permanently terminate your account and services without refund. For accounts terminated due to violations, we may retain relevant data for compliance review and legal proceedings.

Governing Law and Dispute Resolution
This Agreement shall be governed by the laws of the Hong Kong Special Administrative Region of the People's Republic of China. Any dispute arising out of or in connection with this Agreement shall first be resolved through friendly negotiation. If negotiation fails, either party may submit the dispute to the Hong Kong International Arbitration Centre (HKIAC) for arbitration in accordance with its rules in effect at the time. The arbitration shall take place in Hong Kong, with proceedings conducted in both Chinese and English. The arbitral award shall be final and binding on both parties.
Agreement Amendments
We reserve the right to modify this Agreement at any time. Material changes (including but not limited to changes in billing methods, usage guidelines, or liability provisions) will be notified via site announcements or email at least 15 days before they take effect. Continued use of the service after any modifications constitutes acceptance of the new Agreement. If you disagree with any changes, you have the right to stop using the service and close your account.
